Standard angel financing transaction documents

In the last year or so, there has been considerable effort to create standardized open source angel investor transaction documents. The first of these recent efforts was from Y Combinator. With the assistance of Wilson Sonsini, Y Combinator published the Series AA Equity Financing Documents. TechStars subsequently released the Model Seed Funding Documents, which were prepared by Cooley Godward. And, most recently, Ted Wang from Fenwick & West put together the Series Seed documents. There are others as well, especially form term sheets, such as the one Basil Peters advocates: One Page Term Sheet. In the coming months, a Midwest group plans to publish a set of documents that will add to the mix a Midwest flavor of default terms.

This post has three examples of Angel round term sheets and compares and contrasts them.

Joi Ito to Speak at echelon 2010

Joi Ito Joichi Ito, or better known as Joi Ito, is confirmed to speak at echelon 2010. Joi will join the likes of Dave McClure, Chris Evdemon, Saeed Amidi, Jouko Ahvenainen and Tan Yinglan to discuss about mentorship, investment and new funding models for startups.

The Japanese activist, entrepreneur and venture capitalist  is the CEO of Creative Commons, a non-profit corporation dedicated to making it easier for people to share and build upon the work of others, consistent with the rules of copyright. His prior achievements was heading PSINet Japan, the country’s first commercial ISP which was later sold to Cable and Wireless. Joi also co-founded Digital Garage, one of Japan’s first web companies, which is now a public company trading on the Tokyo Stock Exchange. Joi has worked closely with government, academia and standards organizations to promote the internet and innovation.
